Welcome to Ultrabolds
These Terms of Service (“Terms”) set out the rules for using ultrabolds.co and for any design, development or growth services you buy from Ultrabolds (“we”, “us” or “our”). “You” means the person or business using our website or working with us.
By using our website, accepting a proposal or starting a subscription, you agree to these Terms. If you accept them on behalf of a company, you confirm that you have the authority to do so. If a signed proposal, statement of work or contract with you says something different, that document takes priority.
1. Our services
We provide brand identity, product design, website design and development, software development, marketing design and AI workflow services. Our team works remotely, and we deliver our work online.
The scope, deliverables, timeline and fees for each engagement are set out in a proposal, statement of work or subscription plan that you accept before work begins. Anything not listed there is outside the scope, and we will quote for it separately before we start on it.
2. Projects, sprints and monthly plans
Projects are fixed-scope engagements. The deliverables, timeline and fee are agreed in your proposal.
Design sprints are fixed-price engagements of five working days for a single, clearly defined deliverable, such as a landing page, pitch deck or UX audit. Each sprint includes up to two rounds of revisions and starts on an agreed date, usually within 48 hours of payment.
Monthly plans are subscriptions billed monthly in advance:
Essential: brand, marketing and web design. We work on one request at a time, and most requests are delivered within 3–4 working days.
Growth: everything in Essential, plus product design. Requests are prioritised, most are delivered within 2–3 working days, and the plan includes a weekly check-in call.
Scale: everything in Growth, plus development. We work on two requests at a time, most are delivered within 2–3 working days, and the plan includes a dedicated design lead and a shared Slack channel.
On every plan you can add as many requests to your queue as you like, and we work through them in the order you set. Turnaround times are estimates for typical requests, not guarantees. We may split large requests into smaller parts, and we will tell you up front if a request is too big for your plan. If we change a plan’s price or features, we will give you at least 30 days’ notice before the change affects your subscription.
3. Fees and payment
Fees are set out in your proposal or on our pricing page and are quoted in US dollars unless we agree otherwise. Fees do not include taxes, which we add where they apply.
Projects usually require a deposit before we start, with the balance due at the milestones in your proposal. Design sprints are paid in full before the sprint starts. Subscriptions are billed monthly in advance and renew automatically until you pause or cancel them.
Invoices are due within the period shown on them. If a payment is overdue, we may pause work until it is paid, and we release final files once the fees for that work have been paid. You are responsible for any bank or transfer charges on your side.
4. Feedback, revisions and approval
We share work in progress at the points agreed in your proposal or plan. Your proposal sets out how many rounds of revisions are included; design sprints include two. Extra rounds, or changes to a direction you have already approved, may be quoted as additional work.
To keep things clear, please send consolidated feedback from one main contact. If we have not heard from you within 10 working days of delivering a milestone, we may treat it as approved so the work can keep moving.
5. Pausing, cancelling and refunds
You can pause or cancel a subscription at any time before your next billing date. The change takes effect at the end of the current billing period, and we keep working on your requests until then. You can restart a paused subscription whenever you are ready.
Deposits, sprint fees once a sprint has started, and fees for work already done are non-refundable. If a project ends early, you pay for the work completed up to that point, and we hand over the work you have paid for.
Either of us may end an engagement by written notice if the other seriously breaches these Terms and does not put it right within 14 days of being asked to. We may also end an engagement if fees are more than 30 days overdue.
6. Your responsibilities
To keep work moving, you agree to provide accurate information, timely feedback and approvals, and the content, logins and assets we need. Delays on your side may move the timeline.
You confirm that anything you send us, such as logos, copy, images or data, belongs to you or is properly licensed, and that our use of it for your project will not infringe anyone else’s rights. You are responsible for making sure the final content, claims and product decisions comply with the laws that apply to your business.
You agree not to ask us to create anything unlawful, misleading or infringing, and we may decline any request we reasonably believe falls into those categories.
7. Intellectual property
Once you have paid in full, you own the final deliverables we create for you, including the right to use, change and publish them. Drafts, unused concepts and working files not listed as deliverables remain ours unless your proposal says otherwise.
We keep ownership of our existing tools, templates, code libraries and know-how, and we give you a permanent licence to use any of them that form part of your deliverables. Third-party fonts, stock assets, plugins and platforms remain subject to their own licences, which you may need to buy or renew.
Once the work is public, we may show it in our portfolio and marketing unless you ask us in writing not to.
8. Use of AI tools
We may use AI-assisted tools for research, writing, image generation and coding. Our team directs and reviews this work, and we remain responsible for everything we deliver. We do not put your confidential materials into tools that use them to train their models.
In some countries, material generated by AI may have limited copyright protection. If your project needs fully original, human-made assets, tell us at the start and we will agree an approach with you.
9. Confidentiality
We keep your non-public business information confidential and use it only to deliver our services. Everyone who works on your project is bound by the same duty. This does not apply to information that is already public, that we already had, or that we are required by law to disclose. We are happy to sign a mutual non-disclosure agreement on request.
10. Third-party platforms
Websites and products we build may run on third-party platforms such as Framer, Webflow, WordPress or Shopify, and rely on hosting, payment, email and analytics providers. Your use of those services is governed by their own terms and pricing. We are not responsible for their availability, outages, policy changes or price increases, but we will help you work around them where we can.
11. Warranties and liability
We carry out our work with reasonable care and skill, in line with good industry practice. We cannot guarantee specific business results, such as traffic, sales, conversions or search rankings, or that software will be completely free of bugs. If you tell us about a defect in our work within 30 days of delivery, we will fix it at no extra cost.
To the extent the law allows, our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement in the three months before the claim. We are not liable for indirect or consequential losses, such as lost profits, revenue, data or goodwill. Nothing in these Terms limits any liability that cannot be limited by law, such as liability for fraud.
12. Using our website
You may browse our website for personal and business purposes. You may not copy, scrape or reuse our content, case studies or designs without our permission, try to gain unauthorised access to the site, or use it in any way that could harm it or other visitors. The client brands shown in our case studies belong to their owners.
Our website assistant, Ask Ultrabolds, uses AI to answer questions. Its answers are general information only and may occasionally be wrong. Only a proposal or written confirmation from our team is binding.
13. General
We work as an independent business, not as your employee or agent. Neither of us is responsible for delays caused by events outside our reasonable control, such as power or internet outages, natural disasters or government action. You may not transfer your agreement with us to anyone else without our consent. If any part of these Terms is found to be unenforceable, the rest still applies.
14. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, we will first try to resolve it with you in good faith. If we cannot resolve it within 30 days, either of us may refer it to the courts of Nigeria.
15. Changes and contact
We may update these Terms from time to time. The latest version will always be on this page with its effective date. Changes do not affect work already agreed in a signed proposal. If you have any questions, email us at hello@ultrabolds.co.
